This Hosting Service Agreement provides general terms for Technology Mechanics hosted services. It is incorporated into an applicable quote, order or statement of work when referenced there. The service order controls specific pricing, resources and service levels.

Order and Service Configuration

Each order identifies the service, term, capacity, licensing, management level and optional services. Customer-requested changes may change recurring or project charges.

Customer Responsibilities

The customer will provide accurate account information, maintain authorized contacts, protect credentials, use the service lawfully and comply with applicable software licenses and our Acceptable Use Policy.

Technology Mechanics Responsibilities

We will provide the ordered service, maintain the portions of infrastructure included in our scope and use commercially reasonable measures to protect the hosted environment. Managed responsibilities do not extend to applications, configurations or third-party products outside the documented scope.

Billing

Recurring charges are billed according to the order. Usage, licensing, excess capacity, project work and third-party charges may be billed separately when applicable. The customer must notify us promptly of disputed charges.

Suspension

We may suspend or restrict a service when reasonably necessary because of nonpayment, unlawful activity, material abuse, a significant security threat or conduct that threatens other customers or shared infrastructure. When practical, we will provide notice and an opportunity to cure.

Termination and Data

Termination rights and notice periods are stated in the applicable order or signed agreement. Customers should arrange export or return of required data before decommissioning. Residual data may remain temporarily in backups until normal retention cycles expire.

Third-Party Services

Services may incorporate third-party software, cloud, carrier, data-center or licensing components subject to separate vendor terms and availability.

Governing Law

Unless a signed agreement states otherwise, this agreement is governed by Nevada law. Exclusive venue is in a court of competent jurisdiction in Clark County, Nevada, except where applicable law requires otherwise.
